Terms of Service
These Terms govern your use of PayGhost, a service operated by NoLapse LLC.
1. About PayGhost
PayGhost (“PayGhost”, “the Service”, “we”, “us”, “our”) is a payment collection and follow-up automation platform operated by NoLapse LLC, a limited liability company registered in Arizona. PayGhost enables service businesses to send payment requests and automated follow-up communications to their customers. By creating an account or using PayGhost, you agree to these Terms.
2. Eligibility
You must be at least 18 years old and a legal resident or registered business entity in the United States to use PayGhost. By using the Service you represent that you meet these requirements and that you are using the Service for legitimate business purposes.
3. Account Registration
You are responsible for keeping your login credentials confidential. You are responsible for all activity that occurs under your account. Notify us immediately at support@payghost.app if you believe your account has been compromised. You may not share your account with others or create accounts on behalf of third parties without authorization.
4. Payment Processing
PayGhost uses Stripe, Inc. (“Stripe”) to process all payments. By connecting a Stripe account you agree to Stripe's Terms of Service (stripe.com/legal) and Stripe's Connected Account Agreement. PayGhost never holds, receives, or controls customer funds at any point. All payments flow directly from the customer's payment method to your connected Stripe account via Stripe's infrastructure. PayGhost has no ability to access, move, or withhold funds from your Stripe account.
Standard Stripe processing fees apply separately from PayGhost subscription fees. PayGhost subscription fees are billed monthly and are non-refundable except as required by law. Overage fees of $2.00 per open job apply when you exceed your plan's limit.
PayGhost is not a bank, lender, money transmitter, or payment processor. PayGhost is a software platform that schedules and automates payment communications. The movement of money is handled entirely by Stripe under Stripe's licensing and regulatory framework.
5. Payment Authorization and Scheduled Charges
When a customer selects a payment plan and confirms it on the PayGhost payment page, they authorize the business to charge their selected payment method on the scheduled dates displayed to them before confirmation. The complete payment schedule — every date, amount, and installment — is shown to the customer before any authorization is given. No amount or date can be changed after the customer has confirmed.
PayGhost is a scheduling and automation platform, not a lender. PayGhost does not extend credit, make loans, provide financing, or advance funds of any kind. The payment plan displayed to customers represents a schedule of charges for services already agreed upon between the customer and the business — it is not a financing arrangement, installment loan, or credit product. NoLapse LLC is not a creditor, lender, or financial institution.
For saved payment methods, the customer authorizes future charges using that method on the specific dates and amounts shown. PayGhost's system executes those charges automatically on those dates on the business's behalf, using the authorization the customer provided. PayGhost never charges a customer's card for any amount or on any date other than what the customer explicitly authorized.
A customer can contact the business at any time to discuss changes to their payment arrangement. A one-time early payoff option, when offered, is only charged when the customer initiates and confirms it.
6. SMS Messaging Terms
PayGhost sends automated SMS messages to your customers on your behalf to facilitate payment collection. By using PayGhost's SMS features you agree to the following:
- You are solely responsible for obtaining valid prior express consent from each customer before sending them SMS messages through PayGhost. PayGhost provides consent-documentation tools but the legal obligation to obtain consent rests with you as the business owner.
- Message frequency: Message frequency varies based on payment activity and your chosen follow-up cadence. Customers typically receive between 1 and 5 messages per payment request.
- Message and data rates may apply. Standard carrier rates apply. PayGhost is not responsible for carrier charges incurred by you or your customers.
- Opt-out: Customers may reply STOP at any time to opt out of all PayGhost messages. This opt-out is immediate and permanent across all PayGhost accounts. No further automated messages are sent after a STOP reply is received.
- Help: Customers may reply HELP at any time to receive contact information for the business that sent the payment request.
- Carriers are not liable for delayed or undelivered messages.
- You may not use PayGhost's SMS features to send messages unrelated to payment collection for services you have actually provided to the customer.
7. Your Responsibilities
You agree not to:
- Send payment requests to individuals who have not engaged your business for services
- Use PayGhost to collect payments for unlawful goods or services
- Misrepresent the amount owed, the nature of services, or the payment schedule
- Circumvent opt-out requests or send messages after a customer has replied STOP
- Use PayGhost to harass, threaten, coerce, or intimidate any person
- Create multiple accounts to circumvent plan limits or suspensions
- Provide false information during account registration or when submitting payment requests
8. Service Disputes and Workmanship
PayGhost is a software platform that automates payment requests and reminders on behalf of businesses. PayGhost is not a party to the agreement between a business and its customer for the underlying goods or services. PayGhost does not perform, supervise, inspect, or guarantee any work, service, or product that a payment request relates to. PayGhost does not verify the quality, completion, or legitimacy of any work performed.
PayGhost is not a lender, creditor, debt collector, or collection agency. PayGhost does not purchase receivables, does not collect payments for its own account, and does not have any financial interest in whether a payment is made. PayGhost software automates reminder communications at the direction of the business owner.
Questions or disputes about work quality, completion, amounts owed, or the terms of a service agreement are solely between the customer and the business and must be raised directly with the business. PayGhost cannot investigate, mediate, or adjudicate disputes about workmanship, service quality, or whether services were performed. If a customer believes a charge is unauthorized or incorrect, they should contact the business directly or, if necessary, their card issuer through the standard dispute process.
9. Prohibited Use
PayGhost may not be used to request or collect payment for the following categories of goods or services:
- Illegal goods or services of any kind
- Adult entertainment or sexually explicit content
- Gambling, sweepstakes, or games of chance
- Cannabis, controlled substances, or drug paraphernalia (regardless of local legality)
- Firearms, ammunition, or weapons
- Financial services including loans, money transfers, or investment products
- Multi-level marketing or pyramid schemes
- Debt collection for debts you did not originate through a direct service relationship
- Counterfeit goods or intellectual property infringement
- Any service where the underlying transaction is prohibited by Stripe's Terms of Service
Using PayGhost for a prohibited purpose is grounds for immediate suspension or termination. NoLapse LLC reserves the right to update this list at any time.
10. Account Suspension and Termination
NoLapse LLC may suspend or terminate your access to PayGhost at any time for violation of these Terms, for suspicious or fraudulent activity, for excessive payment disputes or SMS opt-out rates, or for any other reason with reasonable notice where practicable. Emergency suspension may occur without notice when required to protect customers, the platform, or legal compliance.
You may cancel your account at any time by contacting support@payghost.app. Upon cancellation, your dashboard access will cease. Active payment plans already confirmed by your customers remain your contractual obligation to manage directly after termination. PayGhost is not responsible for any payment arrangements between you and your customers following termination.
11. Disclaimers and Limitation of Liability
PayGhost is provided “as is” without warranties of any kind, express or implied. NoLapse LLC does not warrant that the Service will be uninterrupted or error-free, that any specific payment will be collected, or that SMS messages will be delivered by carriers. Payment outcomes depend on your customers' payment intent and card validity, which are outside our control. SMS delivery is subject to carrier routing and availability, which is outside our control.
To the maximum extent permitted by applicable law, NoLapse LLC's total liability to you for any claims arising from use of PayGhost is limited to the subscription fees you paid in the three months immediately preceding the claim. NoLapse LLC is not liable for indirect, incidental, consequential, or punitive damages of any kind, including lost revenue, lost profits, or loss of customer relationships, even if advised of the possibility of such damages.
12. Governing Law
These Terms are governed by the laws of the State of Arizona, without regard to its conflict-of-laws rules. Any dispute arising from these Terms will be resolved in the state or federal courts located in Maricopa County, Arizona, and you consent to personal jurisdiction in those courts.
13. Changes to These Terms
NoLapse LLC may update these Terms from time to time. We will notify you of material changes by email or by posting a notice on the PayGhost dashboard at least 30 days before the changes take effect. Your continued use of PayGhost after that date constitutes acceptance of the updated Terms.
